Client Services Agreement

This agreement is between Webitizer LLC, a Florida limited liability company (“Webitizer,” “we,” “us”), and the business named at checkout (“Client,” “you”).
1. What this agreement covers
This agreement explains the website and technical services Webitizer provides, what we each are responsible for, who owns what, how billing works, and how either side can end the service. You accept this agreement by checking “I agree,” typing your legal and business name at checkout, and completing payment (see Checkout Acceptance).
2. What Webitizer does
Webitizer designs, builds, hosts, and maintains websites and related technical systems for small and local businesses. Depending on your plan, we may also provide:
- contact forms and lead-capture tools
- a client portal for requests, messages, and account visibility
- request/ticket tools and billing visibility
- backend workflows and similar technical features
- basic SEO setup and technical optimization, such as page titles, meta descriptions, page structure, performance-minded implementation, mobile-friendly layout, and basic indexing readiness
The specific features included in your plan are listed in your Order Form and Plan Summary.
3. What Webitizer does not promise
Webitizer provides technical website and platform services. We do not guarantee business results. Specifically, we do not guarantee:
- search engine rankings
- website traffic
- leads
- conversions
- sales or revenue
- business growth
- that any website, form, analytics, automation, reporting, or basic SEO setup will produce a specific business result
Basic SEO setup means we implement reasonable technical foundations. It does not mean we guarantee placement on any search engine.
4. Your responsibilities
To deliver your website, we need your cooperation. You agree to:
- provide content, images, logos, and information we reasonably need
- review drafts and give timely feedback
- have the legal right to use any content, images, or materials you give us
- keep your account current on payment
- use the website and portal lawfully (see our Terms of Service)
If we are waiting on materials or feedback from you, timelines may shift.
5. Deliverables and scope
Your plan defines what is included. Work that is outside your plan — for example, new pages, new features, redesigns, new forms beyond your plan’s defaults, new automations, or content creation — is a change request and may be billed separately (see Payment, Billing, and Subscription Terms). We will tell you when something is a change request before doing the work.
6. Revisions and iterations
Each plan includes a reasonable number of review rounds during the build. Additional rounds beyond what your plan includes may be handled as a change request.
7. Ownership
You own: your business content, your logo, images and brand materials you provide, your domain, the customer/lead data submitted through your site, and the exported site content/data we provide on cancellation (see Refund, Cancellation, and Export Policy).
Webitizer owns: our reusable platform code, internal tools, templates, the admin dashboard, our proprietary backend framework, our automation, generalized know-how, and reusable technical components. Using our service does not transfer ownership of these to you.
In plain terms: you own your business’s content and data; we keep the reusable technology we use to serve many clients.
8. Hosting and domain
You own your domain. If you choose Webitizer-managed hosting/domain/deployment, we may manage the domain and hosting while your service is active, for your convenience. You can move your domain to your own account; we will not hold your domain hostage. Hosting and handoff details are in the Refund, Cancellation, and Export Policy.
9. Support
Your plan includes ongoing support for maintenance-type needs (for example, bug fixes, minor content edits, form maintenance, hosting/SSL care, monitoring, and general questions). Support is provided on a reasonable, good-faith basis and is not unlimited. Larger work is handled as a change request. We do not promise instant or 24/7 support.
10. Third-party tools
Your website and our service may rely on third-party providers (for example, hosting, payment processing, email delivery, and analytics). Those providers have their own terms. We are not responsible for outages, changes, or actions of third-party providers, but we will make reasonable efforts to keep your service working.
11. Cancellation
You can cancel at any time. Service continues through the end of the current paid monthly period, and your monthly plan does not renew after that. The setup fee covers design/build/setup work already performed and is generally nonrefundable once paid. 12. No guarantee / disclaimer
The service is provided “as is” and “as available.” To the extent allowed by law, Webitizer disclaims warranties that are not expressly stated in this agreement. We do not warrant that the service will be uninterrupted or error-free, or that it will achieve any particular business outcome.
13. Limitation of liability
To the extent allowed by law, Webitizer’s total liability arising out of or relating to the service is limited to the amount you paid to Webitizer for the service in the three months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business.
14. Term and changes to this agreement
This agreement stays in effect while your service is active. We may update this agreement; if we make a material change, we will provide notice and, where appropriate, ask you to accept the new version. The version you accepted at checkout governs your current term unless you accept a newer version.
15. Governing law
This agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.
16. Acceptance
You accept this agreement by checking “I agree,” typing your legal name and business name, confirming you are authorized to bind the business, and completing payment. Payment confirms your acceptance of this agreement and the service terms. We keep a record of your acceptance as described in Checkout Acceptance.
